OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. A purchase will not increase your chances of winning. These Official Rules govern the Set.fm Culture Collide Contest (the “Contest”) offered by Set.fm. (“Sponsor”). One Prize will be awarded. Contest begins at 12:01 a.m. ET on September 8, 2014 and ends at 11:59 p.m. ET on September 23, 2014 (the “Contest Period”).

To enter: Sign up for Set.fm to become a registered artist user. Record a live show with the Set.fm Studio or simply upload one of your already recorded live sets. All entries must comply with these Official Rules, including, without limitation, the “Entry Requirements” section below. All entries must be submitted during the Contest Period. Entries will not be acknowledged or returned. In the event of a dispute over the identity of any potential winner, the entry will be declared made by the authorized account holder of the account used for entry, and potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder. It is the sole responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her email or postal address during the Contest Period. Proof of uploading an entry does not constitute proof of delivery or entry. All entries become the property of Sponsor and will not be returned to entrant.

Entry Requirements: To be eligible, entry must: (1) be a live recording; (2) may not be obscene, indecent, or otherwise offensive (as determined by Sponsor in its sole discretion); (3) not defame or invade the publicity or privacy rights of any person, living or deceased; (4) infringe, violate, or misappropriate any person’s or entity’s personal or proprietary rights (including copyrights, trademarks, or other intellectual property rights); (5) not contain (i) any words, statements, or images considered offensive to individuals of any age, race, ethnicity, national origin, religion, sexual orientation, or other protected class, or who are disabled, (ii) any threats to any person, place, business, group, or entity, (iii) materials that promote bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on age, race, ethnicity, national origin, religion, sexual orientation or other protected class, or disability, (iv) any materials that depict illegal acts, are sexually explicit, libelous, obscene, violent, hateful, slanderous, (v) content not in keeping with Sponsor’s reputation and image or (6) not be owned by a third-party other than Sponsor and/or be subject of or to any restriction or right that would in any way limit Sponsor’s right to use the entry as permitted under these Official Rules (collectively “Entry Requirements”). Failure to comply with these Entry Requirements, as determined by Sponsor in its sole discretion, is grounds for an automatic disqualification from the Contest. Limit of one (1) entry per person and/or act during the Contest Period will be accepted. Entries that are in excess of the stated limits, incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late or misdirected, deceptive or otherwise not in compliance with the Official Rules may be disqualified from the Contest, at Sponsor’s sole and absolute discretion.

Eligibility: Contest is open to legal residents of the United States who are 13 years of age or older as of the date of entry, except employees of Sponsor, Administrator and their affiliates, subsidiaries, advertising and promotion agencies and the immediate family members and/or those living in the same household of each such employee. Contest is void where prohibited by law.

Drawing: One (1) winner will be selected on or about October 1, 2014. All decisions of the judges are final. Prize consists of only those items specifically described as included in the prize. All fees, federal, state and other taxes, costs and expenses relating to the use, acceptance and possession of the prize are the sole responsibility of the winner.

Prize: One (1) winner will receive (1) one slot to play the Culture Collide festival in Los Angeles, to be held on October 16 - 18, 2014. Performance date October 18, 2014; (2) one slot to play the Culture Collide festilval in San Francisco, to be held on October 14 - 15, 2014. Performance date October 15, 2014; (3) artist highlight on CultureCollide.com; (4) winner announcement by Set.fm, Culture Collide and ASCAP; (5) MP3 featured in 5 Culture Collide city newsletters; (6) $2,000.00 USD per winner, provided by Set.fm. If the winner cannot travel on the dates/times specified by Sponsor, the prize will be forfeited and may be awarded to an alternate winner. Specifics of all aspects of the prize are in Sponsor’s sole discretion. The actual value may vary based upon currency exchange rate. It is the winner’s responsibility to cover their own travel expenses and accommodations and comply with all travel requirements, which may include, without limitation, presenting necessary identification (including valid driver’s license) at the time of travel. Sponsor is not liable for any missed opportunities or expenses incurred as a consequence of flight cancellation/delay or transportation delay. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations. Winner is also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Lost, stolen or damaged airline tickets, travel vouchers or certificates or theme park tickets will not be replaced or exchanged. All costs and expenses not specified herein are the sole responsibility of the winner, including, but not limited to, meals and beverages, ground transportation not specified above, taxes and gratuities. Approximate Retail Value (ARV) of the Grand Prize: $3,000. Winner is solely responsible for any taxes on the respective prizes. No cash equivalent for the prizes, prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the listed prize for one of equal or greater value for any reason.

Notification: Sponsor will contact potential winner by email with instructions to contact Sponsor to begin the process of eligibility verification, prior to prize claim. All instructions provided by Sponsor must be correctly followed and completed within the time period indicated in such notification. Noncompliance within any of the time periods will result in disqualification without further notice and an alternate winner will be selection. ALL ENTRANTS ARE ADVISED TO MONITOR THEIR EMAIL ACCOUNT ON THE DRAWING DATE AND REGULARLY THEREAFTER IN ORDER TO RECEIVE NOTICES TIMELY. SPONSOR WILL NOT BE RESPONSIBLE FOR ANY POTENTIAL WINNER’S FAILURE TO RESPOND WITHIN THE REQUISITE TIMEFRAME. If a potential winner does not timely respond or if prize or prize notification is returned as undeliverable, potential winner will be disqualified and an alternate potential winner will be selected. Upon prize forfeiture, no payment or other compensation will be made to the original potential winner. Recipient of such notification (parent/legal guardian if potential winner is a minor in his/her state of residence) must sign and return an affidavit of eligibility, liability and publicity release within three (3) days of acceptance or an alternate potential winner may be selected. Also, because the approximate retail value of the prize is $600 or more, a Social Security Number or Individual Taxpayer Identification Number is required to be provided to Sponsor for issuance of a 1099 Form. In the event that a potential winner is disqualified for any reason, Sponsor will award the prize to an alternate winner from among all remaining entries. There will be three (3) alternate drawings. After the third such drawing, the prize will remain unawarded. In the event of noncompliance with any requirement, the non-complying potential winner will be disqualified. No substitution, exchange or transfer of prize except by Sponsor, in which case a prize of equal or greater value will be substituted.

Release: By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, including the interpretation of these Official Rules and its exercise of discretion, which will be final and binding in all respects. Entrants are solely responsible for their own actions and agree to hold harmless Sponsor, Administrator and their respective parent, subsidiaries, divisions and related companies, together with and the respective officers, directors, employees, agents, successors, assigns and licensees of each of them, and those companies supplying prizes (collectively the “Released Parties”) from any liability for losses, damages or injuries arising in connection with their participation in the Contest or the award or use of a prize.

Publicity & License: Acceptance of a prize constitutes consent to Sponsor’s use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, (including but not limited to internet and television broadcast) without further consent or compensation except where prohibited. Uploading an entry constitutes an entrant’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, creative, media or technology now known or later developed, including for promotional or marketing purposes. If requested, entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the entry.

General Conditions: Sponsor and each of its affiliates, subsidiaries, parent corporations, and their respective officers, directors, shareholders, employees and agents, are not responsible for any incorrect or inaccurate entry information, theft, tampering, destruction, or unauthorized access to, or alteration of entries; any error, omission, interruption, defect or delay in operation or transmission of any Contest-related website; failure of any entry to be received by Sponsor due to technical problems or human error; printing or other errors. Sponsor reserves the right to modify, suspend or terminate the Contest in the event that it becomes necessary due to circumstances beyond Sponsor’s control. In the event the Contest is terminated early, a potential winner will be selected from all eligible entries received at the time of termination.

Disputes: The Contest is governed by the laws of the United States and, by entering, Winner and entrants hereby submit to the jurisdiction and venue of the federal, state and local courts located in Austin, Texas. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE RELATED TO SPONSOR OR THE CONTEST OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW
